Terms of Service

1. Services

Shopify Webs Developer ("Company", "we", "us") provides Shopify store design, development, and digital marketing services to clients ("Client", "you"). By engaging our services you agree to these terms in full.

Services are described in individual project proposals and service agreements provided before work commences. The scope outlined in each proposal constitutes the agreed deliverables for that engagement.

2. Payments

Invoices are due within 7 days of issue unless a payment schedule has been agreed in writing. For project-based work, a 50% deposit is required before work begins. The remaining 50% is due upon project completion and before final files are handed over.

Monthly retainer fees are invoiced in advance and must be paid before the service period begins. Late payments may incur a 1.5% monthly fee and may result in suspension of services.

3. Revisions & Scope

All plans include unlimited revisions within the agreed scope. Requests that materially expand the project scope — including significant new features, additional pages, or new functionality — will be assessed and may incur additional charges, agreed in writing before work proceeds.

4. Intellectual Property

Upon receipt of final payment, the Client owns all original design work and content created specifically for their project. We retain the right to display completed work in our portfolio and marketing materials unless the Client requests otherwise in writing.

Third-party assets (fonts, stock images, licensed plugins) remain subject to their respective licences. We will always use assets the Client has the right to use commercially.

5. Liability

Our liability for any claim arising from our services is limited to the total fees paid for the specific engagement in which the claim arises. We are not liable for indirect, consequential, or speculative losses including lost profits or business interruption.

We are not responsible for Shopify platform outages, third-party app failures, or changes to Shopify's API that affect previously working functionality outside of our control.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement and for two years thereafter. This does not apply to information that becomes publicly known through no fault of either party.

7. Termination

Either party may terminate ongoing services with 30 days written notice. Upon termination, outstanding invoices for completed work become immediately due. Deposits for project-based work are non-refundable once work has commenced, except where stated otherwise in your proposal.

8. Governing Law

These terms are governed by the laws of the jurisdiction in which the Company is incorporated. Disputes will be resolved through good-faith negotiation before any formal legal proceeding.

Shopify Webs Developer is an independent company providing design and development services for e-commerce. We are not affiliated with, authorized by, or officially connected to Shopify Inc. The name "Shopify" and related marks are registered trademarks of their respective owners.
